Article 1 : Seller Identification

The following general terms and conditions of sale outline the rights and obligations of AUDRAY HODGE, a simplified joint-company registered with Paris Trade and Companies Register (RCS) under number 917 440 968, with its head office located at 10, Place Vendôme - 75001 PARIS. VAT number : FR05917440968. 

Article 2 : Purpose

These General Terms and Conditions of Sale (GTC) constritute the entire agreement between the parties, requiring the Buyer's unconditional acceptance of these terms. 

The GTC apply to all sales made on the website https://www.audrayhodge.com/

AUDRAY HODGE Products are exclusively intented for sale to end consumers who are private individuals or non-professional legal entities, excluding resellers or intermediaries action on behalf of resellers. Consequently, the Buyer confirms that they are acting as an end consumer and do not intend to resell the Products for commercial purposes.

AUDRAY HODGE reserves the rights to modify these GTC at any time without prior notice, particularly due to regulatory changes, by publishing a new version on the Website.

The purpose of these GTC is, on the one hand, to inform any Buyer about the terms and conditions under which AUDRAY HODGE sells and delivers its Products via the Website, and on the other hand, to define the rights and obligations of both the Seller and the Buyer within this context. 

The GTC specify, in particular, the steps required for the Buyer to place an Order, the payment and delivery methods, as well as the tracking of the Buyer's order.

The GTC are accessible at any time to anyone visiting the Website and may be retained through digital storage and/or printing.

Article 3 : Scope

The purpose of these GTC is to define the rights and obligations of the Parties in the context of the online sale of AUDRAY HODGE products offered on the Seller's website. The Buyer confirms having read and accepted the GTC at the time of placing their order.

Article 4 : Pre-contractual Information 

The Buyer acknowledges having received, prior to placing their order and entering into the contract, in a clear and comprehensible manner, the following information :

  • The essential characteristics of the Products,
  • Their price and associated delivery charges,
  • The delivery timeframe,
  • The identity of the Seller,
  • Payment terms,
  • Return conditions and procedures for handling complaints.

Article 5 : Products

1) Product Information

Information regarding the Products sold through the Website, along with their references, is available one the Website. The Buyer acknowledges having reviewed, prior to placing any Order on the Website, and in the French and English languages, the essential characteristics of the Products (including nature, function, composition, materials, color, usage precautions, and care instructions), as well as the price of the Products and any additional charges, such as delivery fees, which are borne by the Buyer.

It is the Buyer's responsability to review the list of materials used in the Products as indicated on the product description page and to ensure, prior to placing any Order, that they are not allergic to any of the materials.

Despite all the care AUDRAY HODGE takes in presenting its Products on the Website, AUDRAY HODGE cannot guarantee that their actual appearance will exactly match their on-screen representation. Minor variations (such as in color tone) may occur, particularly due to the technical limitations of color rendering on electronic devices. These discrepancies do not constitute grounds for AUDRAY HODGE's liability and do not affect the validity of the sale.

It is also the Buyer's responsibility to adhere to the usage conditions and care instructions for the Products as detailed on the product pages, in line with the instructions and recommendations provided by AUDRAY HODGE. 

The Buyer may contact Customer Service for any additional questions, requests, or advice.

2) Product Availability

 Products are offered subjetc to availability. AUDRAY HODGE assumes no liability in the event of stock shartages or the unavailability of Products on the Website. AUDRAY HODGE reserves the right to modify the Products offered on the Website at any time and without prior notice.

Products are available for purchase as long as they are visible on the Website on the day it is accessed by the Buyer and display an "Add to Cart" button.

The product page will inform the Buyer if the Product is out of stock or requires a longer delivery time. In such cases, the "Add to Cart" button will be deactivated for unavailable Products, and the mention "Out of Stock" or "Pre-order" will appear under these Products.

If a Product becomes unavailable after an Order has been placed, Customer Service will contact the Buyer to inform them of the unavailability, the new estimated delivery time, and the option to cancel the Order. If the Buyer requests to cancel the Order, AUDRAY HODGE will issue a full refund as soon as possible and no later than fourteen (14) days following the Order's cancellation.

 Except in cases of force majeure or during announced closures of the online store, which will be clearly stated on the Website's homepage, shipping time will, subject to product availability, align with the estimated timelines provided at the time of order placement.

AUDRAY HODGE reserves the right to refuse an order from a Buyer involved in a prior dispute or if AUDRAY HODGE reasonably believes that the Buyer has violated these Terms and Conditions, engaged in fraudulent activity, or for any other legitimate reason.

AUDRAY HODGE may also be compelled to cancel an order in the event of a clear material error concerning the displayed price or for any other reason (technical bug, human error, or system malfunction). The Buyer will be informed of such cancellation as soon as possible. If payment has already been made, the Buyer will be promptly reimbursed in full. Should the Buyer wish to proceed with the order at the corrected and accurate price, they may do so, subject to product availability.

Article 6 : Pricing

The selling prices of the Products displayed on the Website are specified as follows:

  • Inclusive of all taxes (TTC) for metropolitan France, in euros, taking into account the applicable VAT rate in metropolitan France on the day of the Order. 
  • Inclusive of all taxes (TTC) for the European Union, in euros, taking into account the applicable taxes in the relevant country. 
  • Excluding taxes (HT) for countries outside the European Union, in the local currency.
  • Excluding shipping fees, which are billed in addition to the Buyer unless otherwise stated.

The shipping costs are communicated to the Buyer before they confirm their Order.

The prices of Products and shipping fees listed on the Website may be modified at any time by AUDRAY HODGE. Buyers are encouraged to regularly consult the Terms and Conditions and the Website.

The applicable prices will be those displayed on the Website at the time the Buyer confirms their Order and will be reiterated in the Order confirmation.

The Order must be paid according to the payment methods specified in the Terms and Conditions.

Upon confirmation of the Order, the Buyer will receive a written confirmation of the price paid, detailing:

  • The unit price of the Products,
  • The shipping fees,
  • The total amount paid.

Article 7 : Buyer Identification

It is not mandatory to create a personal customer account to place an Order on the Website. Buyers may place an order as a guest if they prefer. 

If the Buyer does not have a customer account, they will be invited, if they wish, to create one by accurately providing their identity, contact details, a valid email address, and a password. Upon successful account registration, the Buyer will receive a confirmation email granting access to their account.

If the Buyer already has a customer account on the Website, they will be prompted to log in using their email address and password.

Each Buyer agrees to securely store their login credentials and passwords and must not share them with any third party. In the event of loss, theft, or any unauthorized use of their customer account, the Buyer agrees to immediately notify AUDRAY HODGE. 

Should AUDRAY HODGE have reason to suspect that a third party has accessed a Buyer's account, password, and/or login credentials without authorization, AUDRAY HODGE reserves the right to immediately terminate the compromised account. The Buyer will be notified by email or phone.

Emails will be sent to the email address provided by the Buyer. AUDRAY HODGE shall not be held reponsible for errors in the provided information or the non-receipt of emails confirming the shipment or availability of the Order.

Article 8 : Payment

Placing an order on the Site constitutes a contractual obligation to pay, meaning that confirming the Order requires payment from the Buyer.

Before finalizing the Order, the Buyer must accept the General Terms and Conditions (GTC) in effect on the Site.

Unless otherwise stated based on the destination country, payments are exclusively processed in euros and may be completed using one of following methods, as chosen by the Buyer: 

  • Bank card: Payment by credit or debit card via CB, Visa, or Eurocard/Mastercard networks. The Buyer is redirected to a secure payment portal.
  • Paypal: Through their Paypal account.
  • Apple Pay: Through their Apple Pau account.
  • Klarna: Throught their Klarna account.

If the payment is successful, the Buyer will automatically be redirected to the Order confirmation page on the Site. In case of payment failure, the Buyer will be redirected to a page cotifying them of the rejected payment via the chosen payment method.

Payment must be made in full and in a single transaction at the conslusion of the Order precess, unless otherwise indicated.

AUDRAY HODGE reserves the right to suspend any order processing or delivery in the following cases:

  • Payment Authorization Refusal: If official accredited institutions decline authorization for a payment made via credit card.
  • Non-Payment: If the Buyer fails to fulfill the payment obligation in full.

Furthermore, AUDRAY HODGE retains the right to:

  • Decline delivery or fulfillment of an order from a Buyer who has not fully paid for a prior transaction.
  • Refuse an order from a Buyer involved in a ongoing payment dispute or other administrative issues related to previous orders. 

AUDRAY HODGE implements strict measures to ensure seccure transactions and mitigate the risk of fraudulent activity. 

Order Cancellation by AUDRAY HODGE

  • Suspicion of Fraud: AUDRAY HODGE reserves the right to cancel any order deemed suspicous.
  • Blocked Transactions: Orders flagged during routine transaction analysis may be temporarily or permanently blocked.

Buyer Responsibilities 

  • Card Ownership: The Buyer must confirm that they are the rightful owner of the credit card used for payment. The name on the card must match the Buyer's name.
  • Identity Verification: In cases of suspicion, AUDRAY HODGE may request proof of identity from the Buyer. Failure to provide adequate documentation may result in the cancellation of the order.

Non-Responsibility Clause

  • AUDRAY HODGE cannot be held liable for the cancellation of orders due tu suspected fraud or failure to verify the transaction.
  • In cases where payment authorization is declined (e.g., card opposition or issuer refusal), the order will be immediately canceled without liability on the part of AUDRAY HODGE.

Non-Cancellation by the Buyer

Once validated and paid, the Buyer is not permitted to cancel their order.

These measure ensure the security and integrity of transaction conducted through the Site.

Article 9 : Delivery Terms

 Delivery Address

  • Deliveries are made to the "delivery address" provided by the Buyer at the time of the Order. This address may differ from the "billing address"
  • The Buyer is responsible for ensuring the accuracy of the address details submitted during the Order process.

Verification of Delivered Products

  • Upon delivery, the Buyer must verify the condition and conformity of the delivered Products before signing the delivery receipt.
  • Once the receipt is signed by the Buyer of their representative, it is assumed that the delivery was received in satisfactory condition.
  • Damaged Packaging: If the original packaging is damades, torn, or opened, the Buyer must inspect the contents for damage.
  • Damaged Products: If the contents are damaged, the Buyer must refuse the package and notify the carrier immediately.

Shipping fees

  • Preparation and shipping fees vary based on the destination country and the total amount of the Order. These fees will be itemized on the invoice.

Customs and International Shipping

  • AUDRAY HODGE is not responsible for any actions, fees, taxes, or delays caused by customs procedures, which are beyond its control. These responsibilities lie solely with the Buyer.

Delivery Delays

  • Any delay beyond the estimated delivery time does not entitle the Buyer to:

    1) Cancel the Order.

    2) Request a price reduction.

    3) Claim damages or compensation. 

This article outlines the delivery procedures, Buyer responsibilites, and limits of AUDRAY HODGE's liability regarding shipping and delivery issues.

 Incomplete or Incorrect Address

  • In cases of incomplete addresses, incorrect details, recipient refusal, or missing information that result in a Product not being delivered on time, AUDRAY HODGE cannot be held responsible for the final delivery quality.
  • The Buyer is subject to the delivery conditions of the carrier, which may impact the delivery quality if not adhered to.

Return of Undeliverable Products

  •  If the Products must be returned to AUDRAY HODGE due to delivery issues:

    - The Buyer must submit a return request to AUDRAY HODGE withing 14 days of delivery.

    - Claims made outside of this timeframe will not be accepted.

    - Products must be returned in their original condition for the return to be eligible for acceptance.

This section emphasizes the Buyer's responsibility to provide accurate delivery information and the conditions under which undeliverable Products can be returned. It also highlights the potential impact of non-compliance with carrier policies.

1) Delivery Charges

The prices of the Products are stated excluding delivery charges. The delivery charges billed in addition to the Buyer are determined based on the nature of the Product, the quantity of Product(s) ordered, the delivery method chosen by the Buyer, and the delivery location.

The delivery charges include the processing, packaging, shipping, delivery, and tracking of the Order.

2) Delivery Time

The estimated delivery time is indicated on the product page at the time of purchase and in the Order confirmation email. This is an indicative timeframe corresponding to the average delivery time of four (4) to nine (9) business days from the email confirmation of the Order's shipment. This timeframe may vary depending on the delivery location and/or the delivery method.

If applicable, AUDRAY HODGE will inform the Buyer via email of any difficulties encountered that may disrupt or delay the delivery and will provide the Buyer with a new estimated delivery time.

The above-mentioned timeframes for "pre-order" operations may be subject to longer delivery times.

3) Delivery Method

The Products ordered by the Buyer are delivered by AUDRAY HODGE or the carrier selected by AUDRAY HODGE to the delivery address provided by the Buyer at the time of the Order.

Each Order is assigned a tracking number.

By logging into their customer account on the Website, the Buyer has access to a link that allows them to track the shipment status of their package via the carrier’s website.

The Buyer is informed by email and/or SMS when the package is handed over to the carrier, as well as the delivery date.

The package containing the ordered and paid-for Products is delivered in person against signature to the Buyer or the person designated or authorized at the delivery address provided during the Order. In the absence of the Buyer or their representative, the Buyer may choose a new delivery date, collection at a pickup point, or at a nearby post office. If applicable, the Products may be redirected to a carrier’s pickup point or returned to the sender. In certain circumstances, delivery may also be completed without a signature, in accordance with the carrier’s terms and conditions.

For international deliveries, particularly to countries with customs duties, if the Buyer refuses the delivery from the carrier for any reason, AUDRAY HODGE reserves the right to charge the Buyer for return shipping costs as well as customs fees for returning the Product to its country of origin. The amount of these fees will be directly deducted from the refund of the Order.

Article 10 : Force majeure

"Force majeure" refers to all external, irresistible, and unforeseeable circumstances beyond the reasonable control of the party experiencing the force majeure event.

If AUDRAY HODGE is prevented or delayed by a force from fulfilling its obligations, AUDRAY HODGE undertakes to inform the Buyer within ninety-six (96) hours, specifying the specific elements constituting the force majeure, as well as the reasonably foreseeable duration of the delay or impediment. AUDRAY HODGE shall then be released from liability for the non-performance or delay in performing its obligations but commits to making its best efforts to fully resume execution without undue delay.

In such a case of force majeure, AUDRAY HODGE may, at its discretion, cancel the Order or any part of it without incurring liability, while refunding the Buyer for any amounts already paid. Under no circumstances may the Buyer invoke a force majeure event to temporarily or permanently release themselves from a payment obligation.

Article 11 : Intellectual Property

The brand, and mire generally all logos, illustrations, images, and audio elements appearing on the AUDRAY HODGE Website and/or Products, their accessories, or packaging, whether registered or not, are and shall remain the exclusive property of AUDRAY HODGE. Any total or partial reproduction, modification, or use of these trademarks, illustrations, images, logos, and audio elements, for any purpose and on anu medium, without the express prior consent of AUDRAY HODGE, is strickly prohibited. The same applies to all copyrights, designs, models, and patents owned by AUDRAY HODGE.

The Buyer agrees not to manufacture, sell, licence, or market in any way, directly or through a third party, for their benefit or that of a third party, the Products, imitations, or reproductions of the Products or the intellectual property rights related to the Products owned by AUDRAY HODGE.

Article 12 : Language of the Contract

These GTC are written in English.
